Terms & Conditions

1. Introduction
These Terms & Conditions govern the relationship between E B M S BUSINESS SERVICES LLC (“E B M S BUSINESS SERVICES LLC ”), a UAE-based digital marketing agency, and Companysetup.ai (“Client”).
E B M S BUSINESS SERVICES LLC  provides digital marketing, hosting, and lead generation services by running ad campaigns and directing traffic to landing pages hosted under E B M S BUSINESS SERVICES LLC ’ domains/URLs, while the content and business offers on these landing pages are provided and owned by Companysetup.ai.
By using E B M S BUSINESS SERVICES LLC ’ services, the Client agrees to these Terms & Conditions.
2. Scope of Services
E B M S BUSINESS SERVICES LLC  will provide:
Hosting of dedicated landing pages under E B M S BUSINESS SERVICES LLC -controlled URLs.

Digital marketing campaigns on Google, Meta (Facebook/Instagram), TikTok, LinkedIn, and other platforms.

Paid traffic directed to landing pages with forms that collect customer inquiries.

Delivery of generated leads to Companysetup.ai via CRM, email, or other agreed channels.

Important Clarification:
Landing page content, offers, and claims are the sole responsibility of Companysetup.ai.

E B M S BUSINESS SERVICES LLC  only provides the domain/URL and technical setup, but does not verify or endorse the accuracy, legality, or compliance of the content.

3. Payments & Billing
Payments for services must be made in advance unless agreed otherwise in writing.

Accepted payment methods: Visa, MasterCard, AED cash, or bank transfer.

E B M S BUSINESS SERVICES LLC  charges 20% of the monthly ad spend as an agency management fee, unless agreed otherwise.

The Client is responsible for providing/funding the ad budget.

Any add-on services (SEO, creatives, copywriting) will be billed separately.

4. Refund & Cancellation Policy
E B M S BUSINESS SERVICES LLC  agency fees are non-refundable.

Any unused ad spend (not yet consumed on ad platforms) may be refunded if the Client cancels before deployment.

Refunds will be processed only through the original payment method.

Campaign cancellations require 30 days written notice.

5. Responsibilities of E B M S BUSINESS SERVICES LLC
To provide and maintain hosting for landing pages under E B M S BUSINESS SERVICES LLC  URLs.

To run campaigns with reasonable care and follow platform guidelines.

To deliver leads in the agreed format (CRM access, email, or file transfer).

To keep campaign performance and lead data confidential.

6. Responsibilities of Client (Companysetup.ai)
To provide accurate and legally compliant content (text, images, disclaimers, offers) for landing pages.

To ensure that all services and offers comply with UAE law and regulations.

To handle and follow up with leads once delivered by E B M S BUSINESS SERVICES LLC .

To indemnify E B M S BUSINESS SERVICES LLC  against any claims, disputes, or penalties arising from landing page content, offers, or use of leads.

To make timely payments for services and ad budgets.

7. Limitation of Liability
E B M S BUSINESS SERVICES LLC  is not liable for:

The accuracy, legality, or compliance of landing page content provided by Companysetup.ai.

Conversion, sales, or business outcomes from generated leads.

Suspension or rejection of ads by advertising platforms.

Indirect losses including loss of profit, business reputation, or opportunities.

E B M S BUSINESS SERVICES LLC ’ maximum liability is limited to the amount of agency fees paid for the disputed service.

8. Compliance
Services will not be offered to OFAC-sanctioned countries or restricted entities.

Customers under 18 are not permitted to use the services.

Both parties agree to comply with UAE regulations for advertising and business services.

9. Data Ownership & Privacy
All leads generated through landing pages hosted by E B M S BUSINESS SERVICES LLC  are the property of Companysetup.ai.

E B M S BUSINESS SERVICES LLC  may retain anonymized data (e.g., ad metrics, campaign performance) for optimization and reporting purposes.

Both parties agree to maintain confidentiality of shared data and not to disclose it to third parties without consent.

10. Payment Confirmation
Upon receipt of cleared funds, E B M S BUSINESS SERVICES LLC  will issue a payment confirmation/receipt by email.

Settlement of payments may take up to 7 working days to reflect.

11. Governing Law & Jurisdiction
The United Arab Emirates is the country of domicile.

These Terms & Conditions shall be governed by UAE law.

Any disputes shall be referred to the Dubai Courts.
